3. Confirm Your Order

After selecting your company package, simply confirm your order with us via email.

We will then provide an invoice along with all the required application forms and a checklist of documents needed from each Member/Manager (Shareholder/Director) and PSC (Person with Significant Control).

What you need to Set up a Company in UK?

Company office address

You will need a UK company office address to receive official correspondence, including letters from Companies House and other business-related mail, which can then be forwarded to you.

Business details

We’ll need some basic details, such as a short description of your company’s business activities and the corresponding government-approved SIC codes. These can be updated at a later stage if needed.

You will need to provide your full name, nationality, date of birth, occupation, residential address, and a valid form of identification.

What we need to Incorporate a Company in UK

When setting up a Private Limited Company by Shares in the UK, you will need to provide the following information:

Proof of identity

  • Company name, company address, and business activity
  • Details of directors and, optionally, a company secretary
  • Share capital and shareholder information
  • Information on People with Significant Control (PSC)
  • Memorandum and Articles of Association (M&As)

We are legally obligated to verify proof of identity and proof of address for all clients in our system, as well as for all company officers using our address services. This process ensures compliance with Anti-Money Laundering (AML) regulations and ‘Know Your Customer’ (KYC) requirements.

Company Name, Company Address, and Business Activity

Your company name must not contain restricted words and cannot be identical to an existing name on the Companies House records. Star Capital & Associates provides a free service to check the availability of your proposed name.

Every company must have a company office address in the UK—whether in England & Wales, Scotland, or Northern Ireland. This address serves as the company’s official address and must be a physical location (PO Boxes are not permitted), as Companies House and HMRC will use it for official correspondence.

The location of your company office determines the company’s registration jurisdiction, and it cannot be changed to an address outside that country.

Additionally, you will need to select up to four business activities for your company, identified by SIC codes. Descriptions of these codes are available on the Companies House website, and we can handle this selection on your behalf at no extra cost.

Director Details

When opening a private limited company, you must appoint at least one director who is 16 years or older. Appointing a company secretary is optional. For each officer, the following information is required:

  • Full name
  • Date of birth (must be 16 or older)
  • Nationality
  • Occupation
  • Country of residence
  • Residential address (kept private and not shown on the public record)
  • Service address (can be the same as the company office)
  • You can act as a UK company director regardless of your nationality.

A Corporate Director

Appointing a Company as a Director

If you choose to appoint a company as a director, you will need to provide the following details:

  • Company name
  • Full name of the company director
  • Company address
  • EEA or Non-EEA status (whether the company is incorporated in the European Union)
  • Country of incorporation
  • Incorporation number
  • For non-EEA companies, you will also need to provide:
  • Governing law
  • Legal form


Important: A corporate director cannot act as the sole director. If you appoint a corporate director, you must also have at least one individual (human) director.

Share Capital and Shareholder Details

Every company must have at least one shareholder, and it is possible for the same person to be both a director and a shareholder. For each initial shareholder (also known as a subscriber), the following information is required:

  • Full name
  • Address
  • Share currency (GBP, EUR, USD)
  • Share class (Ordinary, Preference, Redeemable)
  • Number of shares
  • Value per share
  • Three security questions (used as an online signature)
  • Example security questions:
  • The first three letters of your birth town
  • The last three digits of your phone number
  • The first three letters of your mother’s maiden name
  • You can hold shares in a UK company regardless of your nationality or country of residence.” And the end of that box, you need to create/add some more blank space, as you did not the block with last title “Proof of ID”

A Corporate Shareholder

If you wish to appoint a company as a shareholder, you will need to provide the following information:

  • Company name
  • First three letters of your mother’s maiden name
  • Full name of the company director
  • Company address
  • Share currency (GBP, EUR, USD)
  • Share class (Ordinary, Preference, Redeemable)
  • Number of shares
  • Value per share
  • Three security questions (used as an online signature—use the company director’s details for these)
  • Example security questions:
  • First three letters of your birth town
  • Last three digits of your phone number
  • First three letters of your mother’s maiden name

People with Significant Control (PSC)

A PSC (Person with Significant Control) is an individual or legal entity, such as a company, that has substantial influence or control over a company. All UK limited companies are legally required to maintain and submit details of their owners or controllers to Companies House.

Memorandum & Articles (M&As)

We provide the option to use the standard articles supplied by Companies House as a template for a typical Limited by Shares company, or you can upload your own customized articles.

You will have the chance to review all company details to ensure they are accurate before we submit your registration to Companies House.

Once your company is successfully incorporated, we will email your registration documents directly to you. The process typically takes around three working hours, depending on the completion of all required documentation, legal and ID checks, as well as Companies House’s workload and operating hours.

You will receive a Client Questionnaire by email to complete, which collects all the necessary information for incorporation. Please return this along with the required Client Due Diligence (CDD) documents.
